Terms of Service

These Terms of Service govern the business relationship between Watch Source Factory and our B2B clients. By placing an order, you agree to the following terms.

1. Minimum Order Quantity (MOQ)

Our standard MOQ is 500 units per design for OEM watch manufacturing. For ODM projects using existing molds, the MOQ may be reduced to 300 units. Custom designs requiring new mold development have a MOQ of 1,000 units.

2. Delivery & Lead Time

Standard lead time is 45-60 days from order confirmation and receipt of deposit. Sample development typically takes 15-25 days. Rush orders may be accommodated with a 15% surcharge, subject to production capacity. Shipping terms are FOB Shenzhen unless otherwise agreed.

3. Warranty & Quality Assurance

All watches are covered by a 24-month warranty against manufacturing defects. The warranty covers movement malfunction, water resistance failure (within rated depth), and material defects. It does not cover damage from misuse, unauthorized repairs, or normal wear and tear. Defective products will be repaired or replaced at our discretion.

4. Payment Terms

Payment is structured as follows: 30% deposit upon order confirmation, 70% balance before shipment. We accept T/T (wire transfer) and L/C (Letter of Credit) for orders above USD 50,000. All prices are quoted in USD. Production begins upon receipt of the deposit.

5. Intellectual Property

All custom designs, molds, and tooling developed for OEM projects remain the intellectual property of the client. ODM designs are the property of Watch Source Factory unless exclusive rights are purchased. Clients warrant that their designs do not infringe on third-party intellectual property rights.

6. Confidentiality

Both parties agree to maintain strict confidentiality regarding all business information, designs, pricing, and technical specifications shared during the course of business. A formal NDA (Non-Disclosure Agreement) is available upon request.

7. Dispute Resolution

Any disputes arising from these terms shall first be resolved through amicable negotiation. If negotiation fails, disputes shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in accordance with its rules.
